  • You will maintain the security of your account credentials

2. User Accounts

2.1 Account Creation

To use certain features of VisMatrix, you must create an account. You agree to:

  • Provide accurate, complete, and current information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Not share your account with others
  • Notify us immediately of any unauthorized access

2.2 Account Responsibility

You are responsible for all activities that occur under your account. VisMatrix is not liable for any loss or damage arising from your failure to maintain account security.

2.3 Account Termination

You may delete your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

3. Acceptable Use Policy

You agree NOT to use the Service to:

Violate laws: Engage in any illegal activity or violate any applicable laws
Harm others: Harass, abuse, threaten, or intimidate other users
Impersonate: Impersonate any person or entity or misrepresent your affiliation
Spam: Send unsolicited messages or spam to other users
Security breach: Attempt to gain unauthorized access to accounts, systems, or networks
Malicious code: Upload viruses, malware, or any harmful code
Data mining: Scrape, crawl, or extract data without permission
System interference: Interfere with or disrupt the Service or servers
Violation of this Acceptable Use Policy may result in immediate account termination and legal action.

4. User Content and Ownership

4.1 Your Content

You retain all ownership rights to the content you create, upload, or share through VisMatrix, including tasks, logs, plans, messages, and other data ("User Content").

4.2 License to VisMatrix

By using the Service, you grant VisMatrix a limited, non-exclusive, worldwide license to:

  • Store and process your User Content to provide the Service
  • Display your User Content to users you've authorized (e.g., friends)
  • Make backups and ensure data security
  • Generate analytics and statistics (anonymized)

4.3 Content Responsibility

You are solely responsible for your User Content. You represent that you have all necessary rights to share your content and that it does not violate any third-party rights or applicable laws.

Data Portability: You can export your data at any time. If you delete your account, we will delete your User Content in accordance with our Privacy Policy.

5. Third-Party Services

VisMatrix integrates with third-party services such as Google Calendar. When you connect these services:

  • You authorize VisMatrix to access your data from those services
  • You agree to those services' terms of service and privacy policies
  • VisMatrix is not responsible for the practices of third-party services
  • You can revoke access at any time through your account settings

Our use of information received from Google APIs adheres to the Google API Services User Data Policy , including the Limited Use requirements.

6. Service Availability

6.1 Service Provision: We strive to provide reliable and continuous service, but we do not guarantee uninterrupted access. The Service is provided "as is" and "as available."

6.2 Maintenance: We may perform scheduled maintenance that temporarily affects service availability. We will attempt to provide advance notice when possible.

6.3 Changes to Service: We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

6.4 No Warranty: VisMatrix is provided without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, VisMatrix and its operators, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of data, profits, revenue, or business opportunities
  • Service interruptions or data breaches
  • Actions or content of other users
  • Unauthorized access to your account
  • Errors, mistakes, or inaccuracies in the Service
In any case, our total liability shall not exceed the amount you paid to VisMatrix in the past 12 months (if any).

8. Indemnification

You agree to indemnify, defend, and hold harmless VisMatrix and its operators from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

9. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our privacy practices as described in the Privacy Policy.

10. Intellectual Property

10.1 VisMatrix Ownership: The Service, including its design, features, graphics, code, and other content (excluding User Content), is owned by VisMatrix and protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.

10.3 Restrictions: You may not copy, modify, distribute, sell, or create derivative works from the Service without our express written permission.

11. Termination

11.1 By You: You may stop using the Service and delete your account at any time.

11.2 By Us: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons may include:

  • Violation of these Terms
  • Illegal activity or abuse
  • Extended period of inactivity
  • Risk to service security or integrity

11.3 Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account and User Content, though some information may be retained as required by law or for legitimate business purposes.

12. Changes to Terms

We may modify these Terms at any time. When we do, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you through the Service or via email (for material changes)
  • Provide you an opportunity to review the changes

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

13. Governing Law and Disputes

13.1 Governing Law: These Terms are governed by and construed in accordance with the laws of the jurisdiction where VisMatrix operates, without regard to conflict of law principles.

13.2 Dispute Resolution: Any disputes arising from these Terms or your use of the Service will be resolved through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in courts of competent jurisdiction.

14. General Provisions

14.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and VisMatrix.

14.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14.4 Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

14.5 No Agency: No agency, partnership, joint venture, or employment relationship is created between you and VisMatrix as a result of these Terms.
